Our Platform and Services provided to you on an "AS IS" basis. You agree that the owners of the ("TuteeHUB") Platform exclusively reserve the right and may, at any time and without notice and any liability to you, modify or discontinue this platform and its services or delete the data you provide, whether temporarily or permanently. We shall have no responsibility or liability for the timeliness, deletion, failure to store, inaccuracy, or improper delivery of any data or information.

Eligibility

TuteeHUB is not intended for children. We do not knowingly collect personal information from children. The Services are available only to individuals or organizations that can form legally binding contracts. Without limiting the foregoing, neither minors (persons under the age of 18) nor individuals who have been suspended from the Services may participate in the Services.

Registration and Account Security

If you choose to register for an Account, you agree to provide us with true, accurate, current and complete information about yourself and update us if there are changes to the information. You acknowledge and agree that TuteeHUB will have no liability associated with or arising from your failure to maintain accurate registration information, including your failure to receive important information and updates about the Services. If TuteeHUB has reasonable grounds to suspect that any information you provided to us is untrue, inaccurate or incomplete, TuteeHUB may suspend or terminate your Account and refuse any and all current or future use of the Services (or any portion thereof) by you.

As a part of your Account registration, you are required to establish a username and password. These pieces of data are used to authenticate you when you use the Services. They act as your signature. For your protection, you should memorize your username, password, and responses to your security questions, if any, and not keep notation of them on or with your personal computer, tablet, mobile device or other device used to access the Services. You are responsible for protecting the confidentiality of your username and password. It is important that you do so since we are not responsible for any losses you incur as a result of unauthorized use of your Account and, depending on the circumstances, your Issuer may hold you responsible for unauthorized use of your Eligible Card account. You agree to notify TuteeHUB immediately of any unauthorized use of your user name or password, or any other actual or potential security breach relating to your Account.

You are responsible for all use of your Account and for ensuring that use of or access to your Account and use of the Services complies fully with these Terms. You acknowledge and agree that any use of the Services occurring through your username and password shall be deemed to be your actions and that TuteeHUB may rely upon such actions.

We regularly review the security measures for the Services. However, we cannot guarantee that the information you transmit via the Internet is entirely secure. When you submit information using the Services, you accept that you do so at your own risk.

Intellectual Property Rights

The TuteeHUB Site Content is protected by applicable intellectual property laws and all Content is owned by TuteeHUB or used by TuteeHUB under a license or with permission. All text, formatting (including without limitation the selection, coordination and arrangement of materials on the TuteeHUB Site, and the images, graphics, animation, tools, widgets, applications, commercials, videos, music, sounds, articles, copy, creative materials, photos, trademarks, service marks, trade names, and logos, and other materials and information on this Site are subject to the intellectual property rights of TuteeHUB, its subsidiaries, and affiliates, and their respective licensors and licensees (collectively "Content"). These materials may not be copied, reverse engineered, decompiled, disassembled, modified, reposted to other web sites, framed, deep linked to, changed, or otherwise distributed, redistributed, licensed, sublicensed or transferred in any form by you. Nothing contained on the TuteeHUB Site shall be construed as granting, by implication, estoppel or otherwise, any license or right to make commercial use of any TuteeHUB trademark, intellectual property right or copyrighted material without TuteeHUB’s prior written permission. The trademarks, logos, trade names and service marks, whether registered or unregistered (collectively the "Trademarks") displayed on the TuteeHUB Site are Trademarks of TuteeHUB and its third party alliance partners. Nothing contained on the TuteeHUB Site should be construed as granting by implication or otherwise, any license or right to use any Trademark displayed on the TuteeHUB Site without the written permission of TuteeHUB or such third party that may own the Trademark.

Any unauthorized commercial use of these materials will violate TuteeHUB’s intellectual property rights and will be subject to TuteeHUB's full legal rights and remedies.

Payment Terms

Membership Fees

---

TuteeHUB users will subscribe to different levels of participation and privileges on the Site, by payment of subscription fees as displayed prominently on the website and available in the "Membership" section post successful login.

TuteeHUB reserves the right to change membership fees, change the features or services/products offered in the membership programs, at any time, upon reasonable notice posted in advance on the Site. No refunds of fees already paid will be given. If TuteeHUB exercises its right to cancel a membership, TuteeHUB will not refund the membership fee already paid.
Where applicable, TuteeHUB may also collect taxes on membership fees.
If you renew your membership program, the new program and, new billing period will then be based upon the date TuteeHUB receives payment of the new membership fee. Any number of days remaining/unused in your subscription at the time of renewal shall be credited to your account in the new membership subscription.

Commission

TuteeHUB charges all users engaging in outsourcing/freelancing/subcontracting or transactions of similar nature using its platform features, a commission fee for each Engagement.

You hereby authorize TuteeHUB for maintaining Accounts and the payment, holding, and receipt of funds for each transaction and other specified purposes. and you agree to pay TuteeHUB the Commission for using the Site’s communication, invoicing, dispute resolution and payment services, including Payment Protection.

Release of Funds

TuteeHUB operates a payment control system wherein the release of funds for any engagement is 100% controlled by the Employer. Kindly, elect to release any funds only post due diligence of quality and quantum of products/services received as part of the project delivery.
Please refer, to the Dispute Resolution Process if unhappy with project outputs and unable to get any satisfactory response from the Remote Worker.

Dispute Resolution

Arbitration Team

The role of the arbitration Team extends to making all actions necessary to resolve the case in an impartial and evidential manner. You acknowledge that the verdict of the Dispute Team is final, binding, and irreversible.

Response Time

Employers: Once a dispute is opened, an employer is given 7 days to respond to it. Otherwise, they will automatically lose the dispute and the pending payments/funds will be transferred to the worker's account.

Workers: Once a dispute is opened, a worker is given 3 days to respond to it. Otherwise, they will automatically lose the dispute any pending payments/funds will be returned to the employer's account.

Resolution Process

1. Incident Report: The complainant selects the Project and the payment or payments to be disputed. After this, a description of the issue and an explanation of why the dispute is being opened should be given. Users are encouraged to attach any files that could support their claims.
2. Negotiations: Both parties will have the opportunity to tell their side of the story and also negotiate terms to resolve the issue between themselves. Only the party who originally filed for the dispute can cancel the dispute.
3. Escalation: If negotiations have failed, either party or both can approach TuteeHUB for claim settlement.
4. Verdict: The Arbitration Team will review all evidence and other information provided to reach a decision (usually within 48 hours). Dispute verdicts are final, binding, and irreversible.

User Submissions

As a user of the Site, you may submit your comments, which may consist of textual content and potentially photos, videos, images audio files, other types of content and links to such content if allowed by the Site (collectively referred to as "User Submissions"). You will be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: the User Submission is your original work and that you own or have the necessary licenses, rights, consents, and permissions to use and authorize TuteeHUB to use any and all User Submissions in any and all media now known or hereinafter invented without territorial or time limitations and without compensation, and have all necessary consents to collect, use and disclose any personally identifiable information, images or likeness contained or displayed in any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Site and this Agreement. You agree that you will not submit as part of any User Submission any material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner and the necessary consents from any individuals whose personally identifiable information is contained in such material to post the material and to grant TuteeHUB all of the license rights granted herein. You acknowledge and agree that no confidential relationship or obligation of secrecy or confidentiality is established between you and TuteeHUB regarding the User Submission, despite any statement or legend to the contrary on the User Submission and any related materials

Ownership of User Content

By making a User Submission, you understand that you are granting TuteeHUB a worldwide, perpetual, royalty-free, fully-paid, irrevocable, sublicensable, transferrable, non-exclusive license in and to the User Submission (including under copyright, patent, and trademark law), including the right to edit, change, and create derivative works, and any concepts or ideas contained in the User Submission, including the documents, artwork, statements, drawings, outlines, proofs, displays, photographs, footage, outtakes, musical scores, audio and video footage, discs, whether in print or electronic form, produced or created by you as part of the User Submission. The license you are granting to TuteeHUB includes the right of TuteeHUB and its designees to reproduce the User Submission, prepare other works using the User Submission, combine your User Submission with other works, and alter, translate, distribute copies, display, perform, license and apply for copyright registration of the transformed User Submission in the name of TuteeHUB throughout the world in perpetuity in any media that now exists or may exist in the future. For example, the above grant permits TuteeHUB and its designees to use only certain portions of your User Submission, rerecord or modify any audio tracks or visual images you provide, rewrite the User Submission, and/or incorporate other materials, either created by TuteeHUB or licensed from others, with your Submission. If we create other works using the User Submission, those works will be owned by us and may be used in accordance with these guidelines, and shall not be subject to your approval.

By making a User Submission, you are waiving and agreeing not to assert any copyrights or "moral" rights or claim resulting from our alteration of the Submission or any photograph(s), footage, illustrations, statements or other work contained in the Submission. You are also agreeing to appoint TuteeHUB as your irrevocable attorney-in-fact with respect to the User Submission, with the right to execute and deliver any documents, in your name and on your behalf, to ensure that TuteeHUB can use the User Submission that you are licensing in any way TuteeHUB sees fit to own and protect the rights in any derivative works created from your User Submission, and to have the User Submission removed from any other website or forum.

Feedback Content

From time to time, we may ask that you for your feedback on TuteeHUB's Site and products and/or services. Any communication or material you transmit or post will be (a) treated as non-confidential and non-proprietary by TuteeHUB, (b) become the property of TuteeHUB and TuteeHUB shall exclusively now and hereinafter own all rights, title and interest therein, and (c) used without restriction by TuteeHUB licensees and affiliates at its sole discretion without any obligation, compensation or other liability to you. Such use may be for any purpose whatsoever, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast and posting whole or in part, in any medium and in any manner, now known or later developed, on this Site or otherwise. And TuteeHUB shall be under no obligation to respond to any such communication. Notwithstanding the foregoing, TuteeHUB maintains a policy of not accepting or considering any creative ideas, suggestions or materials from the public regarding its products and services ("Submissions"), and therefore, you should not make any Submissions to TuteeHUB in any communications through this Site or otherwise. Nonetheless, if you do send us a Submission, despite our request not to do so, then such Submission shall immediately become the property of TuteeHUB and TuteeHUB shall exclusively now and hereinafter own all rights, title and interest therein. Furthermore, TuteeHUB shall be free to use any Submissions for any purpose whatsoever, including, but not limited to, developing and marketing products and services. TuteeHUB shall not be liable for such use or disclosure of such Submission or for any similarities in the Submission and any future TuteeHUB products and services.

You agree that all information or data of any kind, whether text, software, code, music or sound, photographs or graphics, video or other materials ("Content"), publically or privately, shall be the sole responsibility of the person providing the Content or the person whose user account is used. You agree that our platform may expose you to content that may be objectionable or offensive. We shall not be responsible to you in any way for the content that appears on this platform nor for any error or omission.

User Conduct

You are prohibited from using our Services to share content that:

• Contains illegal content or promotes illegal activities with the intent to commit such activities. Please keep in mind that we do not allow content that is inappropriate for young learners.
• Contains credible threats or organizes acts of real-world violence. We don’t allow content that creates a genuine risk of physical injury or property damage, credibly threatens people or public safety, or organizes or encourages harm.
• Harasses others. We encourage commentary about people and matters of public interest, but abusive or otherwise inappropriate content directed at private individuals is not allowed.
• Violates intellectual property, privacy, or other rights. Do not share content that you do not have the right to share, claim content that you did not create as your own, or otherwise infringe or misappropriate someone else’s intellectual property or other rights. Always attribute materials used or quoted by you to the original copyright owner.
• Spams others. Do not share irrelevant or inappropriate advertising, promotional, or solicitation content.
• Otherwise violates the TuteeHUB Terms of Use. Please note that specific courses may have additional rules and requirements.
• post content or items in inappropriate categories or areas on our Websites and services;
• fail to deliver payment for services delivered to you;
• fail to deliver Seller Services purchased from you;
• circumvent or manipulate our fee structure, the billing process, or fees owed to TuteeHUB;
• take any action that may undermine the feedback or reputation systems (such as displaying, importing or exporting feedback information or using it for purposes unrelated to the Website);
• transfer your TuteeHUB account (including feedback) and Username to another party without our consent;
• Do anything that violates local, state, or national law.
• Share your password, let anyone access your account, or do anything that might put your account at risk.
• Attempt to access any other user's account.
• Reproduce, transfer, sell, resell, or otherwise misuse any content from our Services, unless specifically authorized to do so.
• Access, tamper with or use non-public areas of our systems unless specifically authorized to do so.
• Break or circumvent our authentication or security measures or otherwise test the vulnerability of our systems or networks, unless specifically authorized to do so.
• Try to reverse engineer any portion of our Services.
• Try to interfere with any user, host, or network, for example by sending a virus, overloading, spamming, or mail-bombing.
• Use our Services to distribute malware.
• Impersonate or misrepresent your affiliation with any person or entity.
• Encourage or help anyone do any of the things on this list.

Right to Suspend/Refuse/Discontinue Service

We may close, suspend or limit your access to your Account without reason. Without limiting the foregoing, we may close, suspend or limit your access to your Account:

• If we determine that you have breached, or are acting in breach of, this User Agreement;
• We believe there may be an unacceptable level of risk associated with you, your Account, or any or all of your transactions, including if we believe that there is a risk that such funds will be subject to reversal or chargeback;
• We believe that the beneficiary of the payment is someone other than you;
• If you under-bid on any Project in an attempt to renegotiate the actual price privately, to attempt to avoid fees;
• If we determine that you have infringed legal rights (resulting in actual or potential claims), including infringing Intellectual Property Rights;
• If we determine that you have engaged, or are engaging, in fraudulent, or illegal activities;
• You do not respond to account verification requests;
• You do not complete account verification when requested within 3 months of the date of request;
• To manage any risk of loss to us, a User, or any other person; or
• Abuse of any staff members including inappropriate or unreasonable communications
• For other reasons.

If we close your Account due to your breach of this User Agreement, you may also become liable for certain fees as described in this User Agreement.
Without limiting our other remedies, to the extent you have breached this User Agreement, you must pay us all fees owed to us and reimburse us for all losses and costs (including any and all of our employee time) and reasonable expenses (including legal fees) related to investigating such breach and collecting such fees.
You acknowledge and agree that: (1) the damages that we will sustain as a result of your breach of this User Agreement will be substantial and will potentially include (without limitation) fines and other related expenses imposed on us by our payment processors and Users and that those damages may be extremely difficult and impracticable to ascertain; (2) if you breach this User Agreement, we may take legal action against you to recover losses.
If we close your Account for a reason other than as a result of your breach of this User Agreement unless as otherwise specified in this User Agreement, you will be entitled to receive any payment due from us to you.
In the event that we close your Account, you will have no claim whatsoever against us in respect of any such suspension or termination of your Account.

Third-party content and links are included solely for the convenience of users and do not constitute any approval, endorsement or warranty by TuteeHUB. Moreover, TuteeHUB is not responsible for the accuracy, completeness, or reliability of third-party information, or the products or services offered or sold through any linked webs site and you assume sole responsibility for the use of third-party information. Any agreements, transactions, or other arrangements made between you and such third party are made solely at your own risk. When you click on a third-party link, you will leave the TuteeHUB Site.
